Trainee: Good morning, Mrs Oh. Welcome to our offices this morning.

Trainee: :Allow me to introduce myself. I’m _____. I am a trainee solicitor here at ULaws. I report to Indie Ray. Can I offer you something to drink before we start this interview? Would you like some tea, or coffee?

Client:

Trainee: Now I believe that you have never used our services before. Thank you for showing interest in our firm. I do have some particulars although I will need your help to understand how we can help you. This is a fairly simple process and my endeavour in this interview would be to understand your concerns so that we can help you with the appropriate legal advice. Are you comfortable and can be proceed?

Client:

Trainee:Okay. At the outset, and just so that this part of our process is clear to you, allow me to inform you of our fee. We charge £175 + VAT by the hour. As this is an approximately half hour interview, our fee would be about £87.50 and VAT. I hope this part is clear and alright with you?

Client:

Trainee:So, about how we will be conducting this interview, my principal focus at this time is to understand as well as I can, the problems or issues that bring you here today. For this, I will need to ask you some questions to understand the background of the issue. Just so that I do not miss any important detail, I will also be taking notes. This will make sure that we have a record of all the information that you have given us today and we can use this to advice you of the best legal options available to you. Also, before ending this interview, we will go over the summary of the background and your concerns together. Is all of this okay?

Client:

Trainee: Okay, so to start, what I know so far is that you are a director and shareholder in Just Friends Limited and that you have some concerns about a possible breach of duty on your part. Is that right?

Client:

Trainee:Okay, so can you please tell me why you are concerned about potential breaches of duty on your part? Can you please give me the background of these events and please try to remember and tell me all important details leaving nothing out.

Client:

Trainee: Okay I think I have a fair idea of the background and important events. Now, I would also need some information about the articles of association of your company. What can you tell me about the articles? This information is important because sometimes articles contain specific terms about duties of directors.

Client:

Trainee:Okay, so now I have all the relevant details that I need. This will help us to provide you with the appropriate legal guidance on the issues that we have identified in this meeting. Just so that we are both clear and on the same page, I shall summarise the details that I received from you in this meeting. Although we will not be giving you legal advice at this point, this information will form the basis for any legal advice we give to you. If there are any other details that you do recall now, we can add to the summary. Is that alright with you?

Client:

Trainee: Okay. So, at this point, there are concerns that you have regarding possible or potential breaches of duties on your part. These concerns are based on the facts that you have shared with me in this meeting. Our next task will be to provide you with legal guidance on whether there is potential breach of duty by you and if so what are the implications of the same. I hope you are clear about this part?

Client:

Trainee:Perfect. So, we will provide you with a written summary of all that was discussed today. Please do read that carefully so that you may note the correctness of all that information and if there is anything that we missed, or you forgot to tell us today, please do not hesitate to come back to us. Before we conclude this meeting, is there anything else that I can assist you with further?

So, the next step is that we will be sending you a follow up letter detailing the summary of what we discussed today and then based on that, the letter will also provide you with the legal guidance on the implications of legal liability in this situation and the legal options available to you. We will enclose the bill for our costs in this letter as well. You may expect this letter in about 2 weeks from today. Is that alright?

Client:
